If you do not agree, do not access or use our services.

1. PARTIES AND ACCEPTANCE

1.1 "EFS TechFlow" refers to the sole proprietorship operating under that name, owned and operated by Emad Said, based in Edmonton, Alberta, Canada.

1.2 "Client," "you," or "your" refers to any individual or business entity that accesses efstechflow.ca, purchases services, or enters into a service agreement with EFS TechFlow.

1.3 These Terms constitute a legally binding agreement between you and EFS TechFlow. Use of our services constitutes acceptance. Where a separate written service agreement exists, that agreement governs; these Terms apply to all matters not expressly addressed in it.

1.4 EFS TechFlow reserves the right to update these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Continued use of services after the notice period constitutes acceptance of the revised Terms. Version history is maintained by effective date and version number.

2. SERVICES PROVIDED

2.1 EFS TechFlow offers digital automation and marketing services including, but not limited to:

(a) AI voice receptionist and automated call answering services

(b) AI chatbot implementation and management

(c) Missed call text-back automation

(d) Automated review request and reputation management services

(e) Smart website design and conversion optimization

(f) CRM setup, configuration, and automation

(g) Digital marketing strategy and consultation

(h) Funnel design and lead generation systems

(i) All-in-one platform management and sub-account configuration

(j) Any additional digital automation services offered from time to time

and listed at www.efstechflow.ca

2.2 Services are delivered through a combination of proprietary configurations, third-party platforms, and integrated tools. EFS TechFlow reserves the right to modify service delivery methods, substitute equivalent tools, or update platform configurations without notice, provided the core functionality of the contracted service is maintained.

2.3 Service availability targets and timelines (including "live in 7–14 days" where stated) are good-faith estimates and not guaranteed delivery dates. EFS TechFlow will use commercially reasonable efforts to meet published timelines.

2.4 EFS TechFlow operates as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between EFS TechFlow and any client.

3. AI AND AUTOMATED SERVICES β€” IMPORTANT DISCLAIMER

3.1 Certain EFS TechFlow services use artificial intelligence, machine learning models, and automated decision-making systems, including AI voice assistants, chatbots, and automated messaging.

3.2 AI-GENERATED OUTPUTS ARE NOT GUARANTEED. AI systems may produce responses that are inaccurate, incomplete, inappropriate, or inconsistent. EFS TechFlow does not warrant the accuracy, appropriateness, or completeness of any AI-generated content, response, recommendation, or action.

3.3 Clients are solely responsible for reviewing AI-generated communications and ensuring they comply with applicable laws before deployment. EFS TechFlow shall not be liable for errors, misstatements, missed appointments, misbookings, or other outcomes arising from AI-generated outputs.

3.4 AI voice services may record, transcribe, or process telephone conversations. Where call recording occurs, EFS TechFlow or its deployed systems will announce this at the start of the call. Clients are responsible for ensuring their use of AI call services complies with applicable provincial and federal laws, including Canada's Criminal Code provisions on private communications.

3.5 Automated review request services must be used in compliance with Google's review policies, the Competition Act (Canada), and all applicable advertising standards. EFS TechFlow does not guarantee the number or rating of reviews generated and is not liable for reviews removed by third-party platforms.

4. INTELLECTUAL PROPERTY AND PLATFORM ASSET OWNERSHIP

4.1 EFS TechFlow's Intellectual Property. All EFS TechFlow branding, trade names, logos, website content, proprietary service methodologies, training materials, and marketing assets remain the exclusive property of EFS TechFlow. No licence to these assets is granted except as necessary to receive the contracted services.

4.2 Platform Assets and Sub-Account Configurations. EFS TechFlow provides services through managed platform environments ("sub-accounts") that operate within EFS TechFlow's primary platform account. The following applies to all assets created, configured, or managed within any such environment:

(a) All workflows, automation sequences, pipelines, templates, custom values,

triggers, campaigns, funnels, websites, forms, landing pages, and system

configurations created by EFS TechFlow within any managed platform

environment are and remain the exclusive intellectual property of EFS

TechFlow, regardless of which client's sub-account they reside in.

(b) Client contact data and client-owned content (including logos, photos,

and copy provided by the client) remain the property of the client.

(c) Upon termination, EFS TechFlow will provide the client with an export

of their contact data and client-owned content within 30 days of written

request. EFS TechFlow's proprietary configurations, automation logic,

and system architecture are not transferable.

(d) No client shall attempt to reverse-engineer, export without authorisation,

replicate, or claim ownership of EFS TechFlow's platform configurations.

4.3 Licence to Client Materials. The client grants EFS TechFlow a non-exclusive, royalty-free licence to use, reproduce, and adapt any content, logos, copy, or materials provided by the client solely for the purpose of delivering the contracted services.

4.4 No Transfer of Ownership. Unless explicitly agreed in a separate written agreement signed by Emad Said, EFS TechFlow does not transfer intellectual property ownership of any kind to clients.

5. CLIENT RESPONSIBILITIES AND PROHIBITED USES

5.1 Client Responsibilities. You agree to:

(a) Provide accurate, current, and complete information;

(b) Maintain confidentiality of account credentials and notify EFS TechFlow

immediately of any suspected unauthorized access;

(c) Use services only for lawful purposes in compliance with all applicable

laws including CASL, Alberta PIPA, PIPEDA, the Competition Act, and

applicable consumer protection legislation;

(d) Obtain all required consents before uploading or processing third-party

personal data through any EFS TechFlow-managed environment;

(e) Include required opt-out mechanisms in all SMS and email communications

(e.g., "Reply STOP to unsubscribe");

(f) Include visible Privacy Policy links in all data collection forms;

(g) Maintain verifiable records of all SMS and email marketing consents

obtained through EFS TechFlow-managed systems;

(h) Not share account access with unauthorized parties.

5.2 Prohibited Uses. You must not use EFS TechFlow services to:

(a) Send unsolicited commercial messages in violation of CASL;

(b) Harass, threaten, or abuse any person;

(c) Transmit fraudulent, misleading, or deceptive content;

(d) Collect personal data without consent or for purposes not disclosed

to the individuals whose data is collected;

(e) Violate any third-party intellectual property rights;

(f) Upload malware, viruses, or harmful code;

(g) Engage in any activity that would expose EFS TechFlow to liability;

(h) Attempt to access or interfere with any portion of EFS TechFlow's

platform, configurations, or systems beyond your authorised sub-account.

5.3 CASL Compliance. Where EFS TechFlow assists with or enables SMS or email marketing on behalf of a client, the client represents and warrants that all required express consents have been obtained, and agrees to indemnify EFS TechFlow for any CASL violation arising from client instructions or client-provided contact lists.

6. PAYMENTS, SUBSCRIPTIONS, AND CANCELLATION

6.1 Fees. Service fees are as set out in the applicable service agreement, proposal, or product listing. All prices are in Canadian dollars unless otherwise specified.

6.2 Subscription Billing. Recurring subscription services are billed monthly on the agreed billing date. Your subscription rate is locked at the time of sign-up for promotional offers. Standard rates apply to renewals unless a rate lock was expressly provided in writing.

6.3 Cancellation. You may cancel your subscription at any time before your next billing date by providing written notice to [email protected]. No cancellation fee or penalty applies. Cancellation takes effect at the end of the current billing period. You will not be charged for subsequent periods following a timely cancellation notice.

6.4 No Refunds. Fees paid for services already rendered are non-refundable unless otherwise required by Alberta's Consumer Protection Act or agreed in writing. EFS TechFlow will provide a prorated credit for any pre-paid services not yet delivered where a service failure attributable to EFS TechFlow occurs.

6.5 Failed Payments. EFS TechFlow reserves the right to suspend services if payment fails and is not rectified within 7 business days of notice. Service resumption is subject to payment of outstanding amounts.

6.6 Price Changes. EFS TechFlow will provide 30 days' written notice before increasing subscription rates for existing clients.

6.7 Setup and Administration Fees. Any one-time setup or administration fees are as stated at time of purchase. Where a promotional waiver is applied (such as a waived setup fee), the terms of that waiver are as communicated at the time of the promotion.

7. DATA HANDLING AND PRIVACY

7.1 EFS TechFlow collects and processes personal data in accordance with our Privacy Policy, available at www.efstechflow.ca/privacypolicy, and in compliance with Alberta's Personal Information Protection Act (PIPA) and, where applicable, the Personal Information Protection and Electronic Documents Act (PIPEDA).

7.2 By using our services, you authorise EFS TechFlow to process personal data as described in our Privacy Policy and any applicable data processing terms.

7.3 You are solely responsible for the lawfulness of any personal data you or your clients provide to EFS TechFlow for processing through our managed platform environments. EFS TechFlow acts as a data processor for client-provided data and processes it only on your instructions.

7.4 Clients must have a lawful basis for processing all personal data uploaded to EFS TechFlow-managed environments and must not upload personal data that was collected without appropriate consent.

8. THIRD-PARTY PLATFORMS AND DEPENDENCIES

8.1 EFS TechFlow's services depend on third-party platforms, tools, and service providers. EFS TechFlow does not guarantee the continuous availability, performance, or functionality of any third-party platform.

8.2 EFS TechFlow reserves the right to substitute one third-party platform for another that provides equivalent functionality without requiring client consent, provided the substitution does not materially degrade service.

8.3 EFS TechFlow is not liable for service interruptions, data loss, or degraded performance caused by third-party platform outages, policy changes, or technical failures, except to the extent such failure results from EFS TechFlow's negligence.

8.4 Clients acknowledge that third-party platforms used to deliver services may have their own terms of service and privacy policies, which govern EFS TechFlow's use of those platforms.

9. DISCLAIMER OF WARRANTIES

9.1 SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EFS TECHFLOW EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

(a) Any implied warranty of merchantability;

(b) Any implied warranty of fitness for a particular purpose;

(c) Any warranty that services will be uninterrupted, error-free, or secure;

(d) Any warranty regarding the accuracy or completeness of AI-generated outputs;

(e) Any warranty regarding results from digital marketing, lead generation,

review automation, or any other service.

9.2 No advice or information, whether oral or written, obtained from EFS TechFlow shall create any warranty not expressly stated in these Terms.

9.3 This disclaimer does not affect your statutory rights under Alberta's Consumer Protection Act or other non-waivable consumer protection legislation.

10. LIMITATION OF LIABILITY

10.1 To the maximum extent permitted by applicable law, EFS TechFlow's total aggregate liability for any claim arising under or related to these Terms or the services shall not exceed the total fees paid by you to EFS TechFlow in the 90 days immediately preceding the event giving rise to the claim.

10.2 EFS TechFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of revenue, loss of data, loss of goodwill, or business interruption, regardless of whether EFS TechFlow was advised of the possibility of such damages.

10.3 This limitation applies to all causes of action, whether arising in contract, tort (including negligence), or otherwise.

10.4 Nothing in these Terms limits EFS TechFlow's liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence, or any other liability that cannot be excluded under applicable Alberta or Canadian law.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless EFS TechFlow, and its owner Emad Said, from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

(a) Your breach of these Terms;

(b) Your violation of any applicable law, including CASL, PIPA, or PIPEDA;

(c) Your use of services for any unlawful or prohibited purpose;

(d) Any content or data you provide to EFS TechFlow;

(e) Any claim by a third party arising from your use of EFS TechFlow-managed

communications, campaigns, or data.

12. FORCE MAJEURE

EFS TechFlow shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, government action, third-party platform outages, internet service disruptions, cyberattacks, power failures, or labour disputes. EFS TechFlow will notify affected clients as soon as practicable and will use commercially reasonable efforts to resume normal service.

13. ACCOUNT SECURITY AND SUSPENSION

13.1 You are responsible for all activities conducted under your account credentials. Do not share login credentials with unauthorized parties.

13.2 Notify EFS TechFlow immediately at [email protected] if you suspect any unauthorized access to your account.

13.3 EFS TechFlow reserves the right to suspend or restrict account access without notice where there is a suspected security breach, evidence of prohibited use, or failure to pay outstanding fees.

14. TERMINATION

14.1 Either party may terminate a service agreement by providing written notice in accordance with the applicable cancellation terms in Section 6.

14.2 EFS TechFlow may terminate immediately, without notice, for:

(a) Material breach of these Terms that is not cured within 7 days of

written notice (where such breach is capable of cure);

(b) Any prohibited use under Section 5.2;

(c) Non-payment of fees outstanding for more than 14 business days;

(d) Conduct that exposes EFS TechFlow to legal liability.

14.3 Upon termination:

(a) All licences granted to you under these Terms cease immediately;

(b) You must cease use of EFS TechFlow's platform configurations;

(c) EFS TechFlow will provide access to an export of your contact data and

client-owned content for 30 days following written request;

(d) All outstanding fees become immediately due and payable.

14.4 Survival. The following sections survive termination: Section 4 (Intellectual Property), Section 9 (Disclaimer of Warranties), Section 10 (Limitation of Liability), Section 11 (Indemnification), Section 15 (Dispute Resolution), and any other provisions that by their nature should survive termination.

15. DISPUTE RESOLUTION

15.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein.

15.2 Good-Faith Resolution. Before initiating any formal legal proceeding, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of 30 days following written notice of the dispute.

15.3 Jurisdiction. If negotiation fails, both parties submit to the exclusive jurisdiction of the courts of Edmonton, Alberta.

15.4 Limitation Period. Any claim arising under these Terms must be commenced within two (2) years of the date on which the claimant knew or ought to have known of the facts giving rise to the claim.

16. GENERAL PROVISIONS

16.1 Entire Agreement. These Terms, together with any written service agreement and our Privacy Policy, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior representations, agreements, and understandings.

16.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.

16.3 Waiver. Failure by EFS TechFlow to enforce any provision of these Terms shall not constitute a waiver of the right to enforce it in the future.

16.4 Assignment. EFS TechFlow may assign these Terms or its rights hereunder without consent. You may not assign your rights or obligations under these Terms without EFS TechFlow's prior written consent.

16.5 No Agency or Partnership. Nothing in these Terms creates an agency, partnership, joint venture, or franchise relationship between EFS TechFlow and any client.
